Quality Medical Regulations Services (QMRS) respect the privacy of our customers. All information that QMRS may collect such as your email, telephone number or address will be used internally only. The following Confidential Disclosure Agreement (CDA) applies to all other communications of confidential information with QMRS.

 

 

CONFIDENTIAL DISCLOSURE AGREEMENT

 

This agreement confirms the interest of QMRS in receiving certain information from your organization concerning your product specifications, technology, data, samples, materials, substances, clinical research results, registration packages, and marketing activities relating to your organization.

QMRS will manage disclose such information on the following terms and conditions: 

  1. Promptly after execution of this agreement, you will transmit to QMRS Confidential Information in written, visual, or any other tangible form which may include, but not limited to the above indicated information.

  2. During the term of this agreement including any extension thereof, QMRS shall exercise due care to prevent the unauthorized disclosure of Confidential Information without your prior written approval, and shall not use these information for any purpose other than evaluation and consultation with QMRS.

  3. QMRS shall disclose Confidential Information only to those of its employees and consultants who have a need to know such information for the purposes hereof, and who have agreed in writing with your organization to maintain the Confidential Information disclosed to them in the course of their work confidential and not to use it for their own purposes

  4. The agreement includes all information classified as Confidential Information except any portion thereof, which:

  • Is known to QMRS, before receipt thereof under the agreement (as shown by its written records)

  • Disclosed to QMRS by a third party who has a legal right to make such disclosure  

  • Is or becomes part of the public domain.

  • Nothing in this agreement shall be understood to restrict QMRS from disclosing

  • Confidential Information as required by law or court order or any other governmental order or request.

  • QMRS shall timely inform your organization and use all reasonable efforts to limit the disclosure and maintain the confidentiality of such Confidential Information to the extent possible. In addition, QMRS shall permit your organization to limit such disclosure by appropriate legal means.

  1. QMRS agrees not to disclose the existence of this agreement or the fact that QMRS is evaluating your organization Confidential Information, and QMRS shall not use the name of your organization in any publicity or advertising without your prior written approval.

  2. Any information, ideas, suggestions, communications, data, reports and results, conceived, derived, made or developed by QMRS as a result of QMRS evaluation of the Confidential Information under this agreement, shall be promptly disclosed to you and shall be the sole property of your organization (also to be considered "Confidential Information").

  3. This agreement shall be effective for ( ) year (s) from the date of full execution.

  4. QMRS warrants and represents that the terms of this agreement are not inconsistent, with any other contractual and/or legal obligations QMRS may have, or any policies of institutions with, which QMRS is associated.

  5. This agreement is made in two original copies between Quality Medical Regulations Services (QMRS) and your company.
